Terms of Service

1. Acceptance of Terms

By accessing or using the CourseDev platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CourseDev ("Company," "we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

CourseDev is an AI-powered course generation platform designed for educators, instructional designers, and institutions. The Service enables users to create course materials, including but not limited to module content, learning objectives, assessments, discussion prompts, assignments, and rubrics, using artificial intelligence technology.

The Service includes, but is not limited to, the following features: uploading syllabus documents for AI-assisted analysis and course setup; automated discovery of supplementary learning resources via web search; generation of downloadable Microsoft Word documents containing course materials; and email notifications regarding the status of course generation. The specific features available to you may depend on your account type and subscription tier.

3. Eligibility and User Accounts

The Service is intended for use by educators, instructional designers, and other professionals involved in course development. You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Service. By creating an account, you represent and warrant that you meet this eligibility requirement.

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Promptly update your account information if it changes.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. AI-Generated Content — Disclaimer and Limitations

This section is critically important. Please read it carefully.

The Service utilizes artificial intelligence ("AI") models, including large language models, to generate educational content. You acknowledge and agree to the following:

4.1 No Guarantee of Accuracy

AI-generated content may contain inaccuracies, errors, omissions, or fabricated information (commonly referred to as "hallucinations"). The AI may generate content that appears factually correct but is partially or entirely inaccurate. This includes, but is not limited to, incorrect facts, fabricated citations, non-existent references, inaccurate URLs, erroneous data, misleading statistics, and outdated information.

4.2 User Responsibility to Review and Verify

All AI-generated content is provided as a starting point and draft only. You are solely responsible for reviewing, verifying, editing, and approving all content before using it in any educational, professional, or other context. You must independently verify the accuracy of all facts, citations, references, URLs, and data contained in AI-generated output. You should not rely on AI-generated content as a sole source of truth.

4.3 Not Professional Advice

AI-generated content does not constitute professional, legal, medical, financial, academic, or expert advice of any kind. The Service is a productivity tool intended to assist in course creation, not to replace professional judgment, subject matter expertise, or independent research.

4.4 No Warranty on AI Outputs

WE MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, SUITABILITY, OR AVAILABILITY OF ANY AI-GENERATED CONTENT. AI-GENERATED CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO AI-GENERATED CONTENT.

4.5 Assumption of Risk

By using AI-generated content from the Service, you assume all risk associated with its use. CourseDev shall not be held liable for any damages, losses, claims, or expenses arising from your use of, or reliance on, AI-generated content, including but not limited to academic disputes, professional consequences, reputational harm, or financial losses resulting from inaccurate AI outputs.

4.6 URLs and External References

Any URLs, links, citations, or references to external resources generated by the AI may be fabricated, broken, outdated, or may point to content that differs from what was described. You must verify all external references independently before including them in any materials. CourseDev does not endorse, control, or assume responsibility for any third-party content linked or referenced by AI-generated outputs.

Additionally, URLs and external resource links included in AI-generated content may become non-functional over time, as third-party websites may be removed, relocated, or otherwise become unavailable after the content is generated. The availability of external resources is beyond the control of CourseDev and is subject to change without notice. Furthermore, for specialized or niche subject areas, relevant supplementary resources may be limited, and the AI may not be able to identify or recommend suitable external materials. You acknowledge that CourseDev does not guarantee the continued availability or relevance of any external URLs or resources included in generated content, and you are responsible for periodically reviewing and updating any links before distributing materials to students or other end users.

4.7 Third-Party AI Processing

To provide the Service, your inputs (including course descriptions, learning objectives, uploaded syllabus content, and other course-related information) are transmitted to third-party AI service providers, including Anthropic (for content generation) and Google (for educational resource discovery). These providers process your data solely for the purpose of generating the requested outputs and do not retain your data for model training purposes, in accordance with our data processing agreements. For more information, please refer to Section 4 of our Privacy Statement.

5. Acceptable Use

You agree not to use the Service to:

  • Generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon the intellectual property rights of any third party.
  • Misrepresent AI-generated content as being authored, verified, or endorsed by a qualified professional when it has not been reviewed.
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
  • Use the Service to generate misleading academic credentials, fake certifications, or fraudulent educational materials.
  • Interfere with or disrupt the Service or its infrastructure.
  • Share account credentials or allow unauthorized access to your account.
  • Upload files containing malware, viruses, or other harmful code.
  • Upload files containing sensitive personal information (such as Social Security numbers, medical records, or financial account numbers) that is not necessary for course content creation.
  • Upload copyrighted materials for which you do not hold the necessary rights or permissions.

6. Intellectual Property

6.1 Platform Ownership

The Service, including its design, software, interface, branding, and all proprietary technology, is owned by CourseDev and protected by intellectual property laws. Nothing in these Terms grants you any right to use the CourseDev name, logo, or trademarks.

6.2 User-Generated Content and Uploaded Files

You retain ownership of original content you input into the Service (such as course descriptions, syllabi, and custom materials). By using the Service, you grant CourseDev a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. This includes the right to store uploaded files on our servers, extract text content from uploaded documents, and transmit that content to third-party AI providers for analysis and content generation. You represent and warrant that you have all necessary rights and permissions to upload and process any files you submit to the Service.

6.3 AI-Generated Content Ownership

To the extent permitted by applicable law, you may use AI-generated content produced by the Service for your educational and professional purposes. However, you acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions, and CourseDev makes no representations regarding the intellectual property status of AI-generated outputs.

7. Payment Terms

Certain features of the Service may require payment. The Service offers different course tiers, and some tiers may require a one-time payment per course. By purchasing a paid tier, you agree to:

  • Pay all applicable fees as described at the time of purchase.
  • Provide valid and current payment information.
  • Acknowledge that payments are processed by our third-party payment processor, Stripe, and are subject to Stripe's terms of service.
  • Understand that refunds are handled in accordance with our refund policy as described in Section 7.1 below.

7.1 Refund Policy

Due to the nature of AI-generated digital content, all purchases are generally non-refundable once course content has been generated. However, you may request a refund within fourteen (14) days of purchase if:

  • The Service failed to generate your course content due to a technical error that cannot be resolved.
  • The purchase was made in error (e.g., duplicate charge).
  • The Service was substantially unavailable during the refund period, preventing you from using your purchase.

Refund requests should be submitted through our support page. Refunds will not be issued for dissatisfaction with AI-generated content quality, as all AI outputs are provided "as is" per Section 4. Approved refunds will be processed to the original payment method within 5–10 business days.

We reserve the right to change pricing or introduce new pricing models (including subscription-based plans) at any time with reasonable prior notice. Any pricing changes will be clearly communicated before they apply to your account.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COURSEDEV, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your use of, or inability to use, the Service.
  • Any inaccuracies, errors, or omissions in AI-generated content, including hallucinations.
  • Any reliance placed on AI-generated content without independent verification.
  • Any unauthorized access to or use of your account.
  • Any interruption or cessation of the Service.
  • Any consequences arising from the use of AI-generated URLs, references, or citations that are inaccurate or non-functional.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless CourseDev and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your use of AI-generated content without adequate review or verification; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

10. Service Availability and Modifications

The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the Service at all times. The Service may be subject to delays, interruptions, or performance issues due to maintenance, updates, third-party service outages (including AI provider disruptions), or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that may affect your use of the Service. CourseDev shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or using the account settings. Provisions that by their nature should survive termination shall survive, including but not limited to Sections 4, 6, 8, 9, and 12.

Upon account termination or deletion, your personal information, course content, uploaded files, and AI-generated materials will be deleted or anonymized within thirty (30) days, except where retention is required by law or necessary to resolve disputes. We recommend exporting any course materials you wish to retain before terminating your account, as data recovery may not be possible after deletion.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation within thirty (30) days. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. You agree to waive any right to a jury trial or to participate in a class action.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Statement, constitute the entire agreement between you and CourseDev regarding the use of the Service and supersede all prior agreements and understandings.
